    5. Orders, Payments, and Taxes

    5.1 Pricing

    Prices, inclusions, and deliverables are shown at checkout or in your order confirmation. Taxes may apply depending on your location.

    5.2 Payment processing

    Payments are handled through a third-party payment processor. You agree to pay all charges and authorize us (and our payment processor) to charge your payment method.

    5.3 Subscriptions (if offered)

    If a subscription is offered, it will auto-renew unless you cancel as described at checkout or in your account settings. Subscription terms, billing frequency, and cancellation rules will be displayed before purchase.

    6. Refunds and Cancellations

    Refund eligibility depends on the service purchased and the production/distribution stage.

    Unless a different policy is displayed at checkout:

    • Work already performed is non-refundable.
    • If distribution/publishing has already occurred or has been submitted to third-party partners, refunds are generally not available because the service cannot be undone.
    • Chargebacks or payment disputes should be raised with us first at support@utahpresswire.com so we can resolve issues quickly.

    7. Client Responsibilities

    You agree that you will:

    • provide accurate and complete information for your project intake;
    • respond to reasonable requests for approvals, clarifications, or assets;
    • ensure you have all rights/permissions needed for anything you provide (logos, images, quotes, testimonials, brand names, etc.);
    • ensure your content is truthful and not misleading;
    • comply with all applicable laws and regulations (including advertising, consumer protection, industry rules, and election-related rules if applicable).

    8. Prohibited Content and Conduct

    You may not use the Services to create, publish, distribute, or promote content that:

    • is unlawful, defamatory, harassing, or deceptive;
    • infringes intellectual property or privacy rights;
    • contains malware, phishing, or other harmful code;
    • violates third-party platform rules that apply to publishing/distribution;
    • includes sensitive personal data you are not authorized to share.

    We may refuse, pause, or terminate service if we reasonably believe content violates these Terms or applicable law.

    9. Editorial Control and Quality

    We may suggest edits for clarity, compliance, style, and formatting. You are responsible for reviewing and approving final content before distribution/publishing submission (unless you explicitly authorize us to proceed without approval).

    Third-party partners may reject, remove, or modify content according to their own rules. We are not responsible for third-party editorial decisions.

    10. Third-Party Services and Partners

    Some parts of the Services rely on third-party vendors (e.g., payment processors, email delivery, hosting, publishing/syndication partners, and media-room hosting providers).

    Third-party services are governed by their own terms and policies. To the maximum extent permitted by law, we are not responsible for third-party services, outages, content decisions, removals, or policy changes.

    11. Intellectual Property

    11.1 Your content

    You retain ownership of the content you provide. You grant us a worldwide, non-exclusive license to use, reproduce, modify, and distribute your provided content solely to deliver the Services.

    11.2 Our materials

    We own our website, templates, workflows, designs, and any non-client-specific materials we provide. You may not copy, resell, or create derivative works from our proprietary materials except as needed to use the Services.

    11.3 Portfolio and testimonials (optional)

    Unless you opt out in writing, you grant us permission to reference your project in a limited way (e.g., "press release for [industry] client") without disclosing confidential information. We will honor reasonable confidentiality requests.

    12. Disclaimers

    THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

    WE DO NOT GUARANTEE:

    • media pickup, editorial coverage, readership, or placements;
    • SEO rankings, Google results, map pack placement, or specific traffic/leads;
    • timing, permanence, or continued availability of third-party publications or hosted pages;
    • that publishing/distribution partners will accept or keep content live.

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

    13. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW:

    • UTAHPRESSWIRE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.
    • OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO UTAHPRESSWIRE FOR THE SPECIFIC SERVICE THAT GAVE RISE TO THE CLAIM IN THE 3 MONTHS BEFORE THE EVENT.

    Some jurisdictions do not allow certain limitations. In that case, limitations apply to the maximum extent permitted.

    14. Indemnification

    You agree to indemnify, defend, and hold harmless UtahPressWire and its owners, employees, contractors, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

    • your content, instructions, or materials;
    • your violation of these Terms;
    • your violation of any law or third-party right.

    15. Termination

    We may suspend or terminate your access to the Services if you violate these Terms or if continued performance becomes impractical due to legal or security risks.

    You may stop using the Services at any time. Termination does not affect payment obligations for work already performed.

    16. Dispute Resolution and Arbitration

    16.1 Informal resolution first

    Before filing a claim, you agree to contact us at support@utahpresswire.com and provide a brief description of the dispute and your requested resolution. We'll try to resolve disputes in good faith.

    16.2 Binding arbitration (unless prohibited)

    If a dispute cannot be resolved informally, you and UtahPressWire agree to resolve disputes through binding arbitration, except you may:

    • bring claims in small claims court (if eligible), or
    • seek injunctive relief for misuse of intellectual property.

    Arbitration location: Salt Lake County, Utah (or remote/video at our option).

    Governing rules: Federal Arbitration Act and applicable arbitration provider rules.

    16.3 Class action waiver

    You and UtahPressWire agree to bring claims only on an individual basis, and not as a plaintiff or class member in any purported class or representative action.

    16.4 Jury trial waiver

    To the extent permitted by law, you waive any right to a trial by jury.

    17. Governing Law

    These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules, except where federal law applies.

    18. Miscellaneous

    • Severability: If any part of these Terms is unenforceable, the rest remains in effect.
    • Entire Agreement: These Terms + any order confirmations/checkout terms + our Privacy Policy form the entire agreement regarding the Services.
    • Assignment: You may not assign these Terms without our consent. We may assign them in connection with a business transfer.
    • Force Majeure: We are not liable for delays caused by events outside our reasonable control.
